Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Client," "you") and SECGroup® ("Company," "we," "us"). TalentzillaAE® is a brand operated by GrowthzillaAE®, a brand of SECGroup®. These Terms govern your use of the website at talentzilla.ae and talentzilla.us and the recruiting-marketing services we provide (collectively, the "Services"). By engaging our Services, submitting an enquiry, or signing a service agreement, you agree to be bound by these Terms and our Privacy Policy. If you act on behalf of an organization, you confirm you have authority to bind it.

• You must be at least 18 years old and authorized to contract on behalf of your business.
• The Services are intended for business and professional use only.
• You must provide accurate, current, and complete information.

TalentzillaAE provides done-for-you social recruiting services designed to generate qualified applicant interviews for our clients. The scope, deliverables, fees, and campaign parameters for your engagement are defined in a separate written service agreement or order form ("Engagement"). In case of conflict between these Terms and your Engagement, the Engagement prevails.

To deliver results, we require your active participation. You agree to:

• Participate in an onboarding session to define and sign off on your target hiring criteria.
• Maintain the minimum media/advertising spend specified in your Engagement for the duration of the campaign.
• Respond to and follow up with delivered leads and booked interviews in a timely manner.
• Provide accurate information about your roles, brand, and requirements, and hold all necessary rights to any materials you supply.
• Conduct your own final interviews, hiring decisions, employment offers, and contracts.

We provide marketing and lead-generation services. We do not guarantee any specific number of hires, applicants, conversion rates, retention, or business outcomes. "Qualified" means an applicant meeting the criteria you defined and signed off during onboarding. We are a recruiting-marketing provider and are not an employer, employment agency of record, or a party to any employment relationship you form. All hiring decisions are solely yours.

• Service fees are charged on a recurring retainer basis as set out in your Engagement, unless otherwise agreed in writing.
• Advertising / media spend is separate from our service fees and is either billed to you or paid directly by you to the relevant platforms, as specified in your Engagement.
• Fees are exclusive of applicable taxes (including VAT where applicable).
• Payments are due per the schedule in your Engagement. Late or failed payments may result in pausing or suspending campaigns and Services.

• The term and notice period are set out in your Engagement.
• You may cancel in accordance with the notice period stated in your Engagement; cancellation takes effect at the end of the then-current billing period.
• Service fees already paid are non-refundable except where required by law, given the resources committed to your campaign.
• Advertising spend already deployed to third-party platforms is non-refundable.

You agree not to use the Services to: post false or misleading role information; discriminate unlawfully in hiring; violate any applicable law or platform policy (including Meta, TikTok, and UAE regulations); or misuse applicant data. You are responsible for the lawfulness of your roles, offers, and hiring practices.

• The TalentzillaAE® and GrowthzillaAE® brands, logos, our systems, funnels, templates, and methodologies remain the exclusive property of SECGroup®.
• Creative assets (ads, videos, copy) produced for your campaign are licensed to you for use in connection with your recruiting during the Engagement; ownership terms are as stated in your Engagement.
• You retain ownership of your own brand materials and any lead/applicant data delivered to you, and you are responsible for handling that data lawfully.

Applicant personal data generated through campaigns is processed in accordance with our Privacy Policy and applicable law, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. As the party receiving and acting on applicant data for your own hiring, you are an independent controller of that data and must handle it lawfully, including providing appropriate notices and honoring applicant rights.

Our Services rely on third-party platforms (Meta, TikTok, Google, WhatsApp, and others). We are not responsible for their availability, policies, pricing, ad approvals, or account actions. Your use of these platforms is subject to their terms.

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the Engagement.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free Services, specific results, lead volumes, or that any applicant will accept or remain in a role.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECGroup®, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE SERVICE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless SECGroup® and its affiliates from any claims, damages, or costs (including reasonable legal fees) arising from your roles, hiring decisions, employment practices, your handling of applicant data, your content, or your violation of these Terms or any law or third-party right.

We may suspend or terminate Services immediately for non-payment, breach of these Terms, unlawful conduct, or platform violations. Sections on IP, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by the laws of the United Arab Emirates. The parties will first attempt to resolve any dispute through good-faith negotiation for 30 days. Failing that, disputes shall be resolved by binding arbitration in Dubai, UAE, under the rules of the Dubai International Arbitration Centre (DIAC). You waive any right to class-wide proceedings.

We may update these Terms. Material changes will be communicated by email or a notice on our website at least 14 days before taking effect. Continued use of the Services after that date constitutes acceptance.

These Terms plus your Engagement and our Privacy Policy are the entire agreement. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign freely. We are not liable for delays caused by events beyond our reasonable control.
